How long does it take
to complete documentation?
For Business Plans it will always take
2-3
business days for the first draft of financials, once approved
by you we will have your full draft ready within another 3
business days. Additional revisions are one business day.
Private Placement Memorandums take 3 business days and an
additional business day for attorney review. Remember you have unlimited revisions and corrections with each
draft. Generally we complete 8-10 drafts in a
time frame of two weeks.

What do I do once my documentation is complete?
Depending on the type of
documentation we prepared, you will now approach SBA or Banks
for loans, or Venture Capital and private investors for outside
investment. We will provide you with detailed
assistance in dealing with the SBA and banks. Our client
login section online has a wealth of resources including venture
capital firm listings that are industry specific and region
specific and contain full contact information, and NASD broker
listings for Private Placement Memorandum clients.
When seeking funding,
you are in a battle. A battle against others seeking the
same pool of investment capital or SBA consideration. Our
documentation should be used as your main weapon, along with
your tenacity and character, this combination must be utilized fully to
secure the funding you are seeking.
What form do I
receive my documentation in?
All Documentation is
emailed in PDF or Word format. Once the final
documentation draft has been complete, we will email you a copy
of the final PDF and Microsoft Word Document, as well as mail
you a printed and bound copy with color charts and graphs, and a
cd-rom containing your documentation in Microsoft Word and Adobe
PDF file formats.
You may email your
documents to interested investors, or print and mail them if
required from your cd-rom.

What is a Private
Placement Memorandum?
Most issuances of equity
securities must be registered with the Securities and Exchange
Commission. Registration documents include detailed disclosure,
historical financial statements, and third party audits that
take time to assemble. The process requires many hours of
assistance by attorneys and accountants, and the SEC review can
last from 20 to 60 days. Registration alone can cost a business
thousands of dollars even before the offering makes any money.
A private placement,
however, is EXEMPT from federal registration. Exemptions have
always been available under the Securities Act of 1933 (the
Act), but the original exemption provisions (contained in
sections 3(b) and 4(2) of the Act) were vague and, therefore,
risky for business owners to invoke.
In 1982, the SEC adopted
Regulation D, which set forth objectives and quantifiable rules
for exemptions from federal registration. Offerings exempt under
these rules 504, 505 and 506 have become the most common cost
and time saving methods for small and growing businesses to
raise capital from private investors.
Essentially, this allows
LLC and Corporations of small size to sell shares of stock/membership
units/debt
through a Private Placement Memorandum. For example,
someone seeking 1 Million in funding, may place 10% of their
company's stocks for sale. Selling 1,000,000 shares of
stock at $1.00 each and retaining 9,000,000 shares.
This is very effective
in raising funds as it allows for multiple investors, and we
highly recommend the use of this document if you are seeking
funds fast. Because of the complexities surrounding this
documentation, few firms do it, and those that do charge in

What is contained in the
client login section online?
The client section
is a members only section accessible by clients who have signed
up for the Gold Level business plan, or for a private placement
memorandum. This section has a listing of Venture Capital
firms categorized by type of industry the firm specializes in,
their country, the funding amounts they generally work within,
and the stage of companies they work with.
This section contains
physical street addresses, websites, phone numbers, fax numbers
and email addresses for contacts of each firm. This allows
clients to find a listing of Venture Capital firms who will deal
within their parameters and submit their documentation to them
for consideration.

take you to a check-out page where you can securely pay via the

email or fax and we can begin on your project the same day.
